PLEASE CAREFULLY READ THIS IMPORTANT EDGENET TERMS OF USE AGREEMENT (“Terms of Use”) AS IT WILL GOVERN THE RIGHTS AND LIABILITIES REGARDING EACH USER’S (each user individually, and on behalf of the entity they are working on behalf of, is collectively referred to as “you” or possessively as “your” in these Terms of Use) USE OF THE SOFTWARE KNOWN AS EDGENET VIA THIS SITE (the “Site”, which includes, without limitation, https://edgenet.federatedinvestors.com), INCLUDING ALL UPDATES, ENHANCEMENTS AND RELATED MATERIALS PROVIDED TO YOU ON THIS SITE (collectively, “EDGEnet”). THESE TERMS OF USE ARE IN ADDITION TO (AND DO NOT LIMIT) ANY OTHER AGREEMENTS YOU MAY HAVE WITH FEDERATED HERMES.

1. Acceptance of the Terms of Use

THESE TERMS OF USE ARE A BINDING AGREEMENT BETWEEN YOU (AS AN INDIVIDUAL AND ON BEHALF OF THE ENTITY YOU WORK FOR) AND FEDERATED SHAREHOLDER SERVICES COMPANY (“FSSC”) AND/OR ITS AFFILIATES THAT OWN EDGEnet OR PROVIDE THIS WEBSITE OR CONTENT THEREON, AND EACH OF THEIR SUCCESSORS AND ASSIGNS (collectively, “Federated Hermes”). YOUR USE OF EDGEnet INDICATES YOUR ACCEPTANCE OF THESE TERMS OF USE, AND CONSENT TO PERFORMING TRANSACTIONS AS INDICATED HEREIN. IF YOU DO NOT AGREE TO THESE TERMS OF USE, YOU MAY NOT USE EDGEnet OR THIS WEBSITE. FEDERATED HERMES MAY ASSIGN OR TRANSFER THESE TERMS OF USE FROM TIME TO TIME WITHOUT NOTICE TO YOU. YOU ARE RESPONSIBLE FOR REVIEWING THESE TERMS OF USE WHEN USING EDGEnet, AND FEDERATED HERMES IS RELYING UPON YOUR AGREEMENT TO THE TERMS OF USE, AS AMENDED, WHEN PROVIDING EDGEnet.

2. Amendments

Federated Hermes may revise and update these Terms of Use from time to time in its sole discretion. All changes are effective immediately when posted, and apply to all access and use of EDGEnet and the Site thereafter. Federated Hermes may revise the date at the beginning of these Terms of Use when revised or updated Terms of Use are posted. Your continued use of EDGEnet after posting of any revised or updated version of the Terms of Use indicates your consent to the revised or updated Terms of Use. Check this page when you access the Site to determine whether any revisions or updates have been made.

3. Accessing EDGEnet

To use EDGEnet, you must: (i) have a valid A) Mutual Fund Services Agreement, or B) Dealer Agreement (if you are a broker-dealer); or C) other authorizing agreement with Federated Hermes (any of the foregoing, a “Fund Services Agreement”); (ii) be registered with Federated Hermes pursuant to its registration requirements; and (iii) be authorized to use EDGEnet through a user identification and password provided by Federated Hermes (together, “Access Credentials”). Alternatively, upon Federated Hermes’ sole discretion, if Federated Hermes determines you qualify as an Institutional Cash Direct client, you shall be permitted to use EDGEnet if you: (x) have a signed application with Federated Hermes; (y) agree to be bound by the applicable prospectus; and (z) are authorized to use EDGEnet through user identification and password provided by Federated Hermes(together, “Institutional Cash Direct Credentials”). Access Credentials cannot be shared with others, and you are responsible for keeping your Access Credentials confidential. Take care when entering your Access Credentials in the presence of others, and be sure to log out of your EDGEnet account when you are not at your computer. If you lose your Access Credentials, or believe that another person has learned them, you must report this immediately to Federated Hermes at 1-800-432-6106. If you access or use EDGEnet you represent and warrant that you have each (i), (ii), and (iii), and that you have not shared your Access Credentials with anyone else. If Federated Hermes determines you qualify as an Institutional Cash Direct client, and you access or use EDGEnet, you represent and warrant that you have each (x), (y), and (z), and that you have not shared your Institutional Cash Direct Credentials with anyone else. Federated Hermes reserves the right to disable any Access Credentials at any time, without notice, for any or no reason (including, for example, if Federated Hermes believes that you have violated these Terms of Use or that your Access Credentials have been compromised).

You shall provide written notice to Federated Hermes of your authorized employees and agents who should be given access to EDGEnet through you. You shall immediately provide written notice to Federated Hermes by completing an updated application for EDGEnet access at https://edgenet.federatedinvestors.com/ of changes to your authorized system administrators and other authorized users so to allow Federated Hermes to modify your authorized access and Access Credentials.

You are responsible for your own hardware, software and connectivity required to access EDGEnet. EDGEnet, or portions of it or the Site, will be unavailable at scheduled and unscheduled times, without prior notice. Federated Hermes is not liable if all or any part of EDGEnet or the Site is unavailable at any time or for any period.

4. License of Software

By accepting these Terms of Use, you may, during the term of these Terms of Use, access the software known as “EDGEnet” only through the Site (pursuant to any authorization, use and security requirements required by Federated Hermes from time to time) when it is available, and use EDGEnet solely for your internal business operations to place trades, manage accounts and access related reports pursuant to the EDGEnet documentation supplied to you. No other use of EDGEnet is permitted, including without limitation that under no circumstances may you: (i) make EDGEnet (or any portion thereof) available, or allow EDGEnet (or any portion thereof) to be made available, on a network or file server, (ii) copy EDGEnet (or any portion thereof), or allow EDGEnet (or any portion thereof) to be copied, or (iii) use EDGEnet in any way in connection with sales activities, including without limitation sales solicitations. The limited rights granted to you under these Terms of Use are non-transferable, non-sub licensable and non-exclusive, and are solely for your own personal and internal use. You grant to Federated Hermes and shall acquire from your customers, all necessary rights, permissions, and consents for you and Federated Hermes to transmit, store, and use confidential and personal information about them in EDGEnet and the Site. You will input information into EDGEnet in any method or format required by Federated Hermes.

This license does not permit you to: resell EDGEnet or the information provided to you by EDGEnet; make any derivative use of EDGEnet or its contents; make any use of data mining, robots, or similar data gathering and extraction tools. All rights not expressly granted to you in these Terms of Use are reserved and retained by Federated Hermes.

5. Prohibited Uses and Other Restrictions

(a) You shall not access EDGEnet except through the Site and you many only use EDGEnet for its permitted uses described herein. You may not:

• use the Site or EDGEnet in any way that violates applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the transmission of data or software to and from the United States or other countries);
• send, upload, or transmit any information that you know to be false, misleading, or inaccurate;
• impersonate or attempt to impersonate Federated Hermes or any other third party or EDGEnet or Site user;
• engage in any conduct that restricts or inhibits any other’s use or enjoyment of EDGEnet or the Site, or which, as determined by Federated Hermes, may harm Federated Hermes, EDGEnet, the Site, third parties, or other users of EDGEnet or the Site;
• engage in any activity or use any device, software, or routine that could disable, overburden, damage, or impair EDGEnet or the Site;
• use any robot, spider, code, or other automatic device, process or means to access EDGEnet or the Site for any purpose, including monitoring or copying any content or portion of EDGEnet or the Site;
• introduce any viruses, trojan horses, worms, logic bombs, vulnerabilities, or other material that is malicious or technologically disruptive or harmful;
• exceed your authorized access to EDGEnet, the Site, or any server, computer, or database connected to EDGEnet or the Site;
• engage in a denial-of-service attack or a distributed denial-of-service attack against EDGEnet or the Site;
• rent, disclose, publish, sell, lease, assign, sublicense or otherwise transfer to any third party any of EDGEnet or your Access Credentials or license rights relating to EDGEnet or use EDGEnet in any manner not expressly authorized by these Terms of Use;
• make any attempt to discover or otherwise access the source code, source files or structure of EDGEnet or any portion thereof by reverse engineering, decompiling or any other method;
• attempt to design or create works derived from or based on EDGEnet; or
• use any portion of EDGEnet to operate a service business or for any other use involving the processing of data of other persons or entities.

(b) Federated Hermes makes no claims that EDGEnet or the Site are accessible or appropriate outside of the United States, and both the Site and EDGEnet are designed for use by people located in the United States. You will not use or allow any related or affiliated party or person to use or access EDGEnet from any location outside of the United States, absent prior written authorization by Federated Hermes. You will not export, re-export or transship EDGEnet, or any documentation related thereto, or any portion or derivative thereof, outside of the United States without the prior written consent of Federated Hermes. You further will not export, re-export, or transship EDGEnet, or any documentation related thereto, or any portion or derivative thereof, to any embargoed country so designated by the United States government or to any prohibited individual or entity so identified on the U. S. Treasury Department’s Specially Designated Nationals and Blocked Persons list or any other prohibited list maintained by the U.S. government. You will be solely responsible for complying fully with all applicable export laws and regulations of the United States and any other relevant jurisdiction with respect to your use of EDGEnet and this website and will assure that none of EDGEnet or any documentation related thereto, or any portion or derivative thereof, is exported, directly or indirectly, in violation of United States law.

6. Term

These Terms of Use are effective until terminated. Federated Hermes may terminate these Terms of Use and your access to EDGEnet at any time without notice. You may terminate these Terms of Use upon 30 days written notice, provided that you stop all access to and use of the Site and EDGEnet. These Terms of Use will also terminate if you fail to comply with any term or condition of these Terms of Use or fail to pay any fee due pursuant to the Fund Services Agreement. You agree, upon any termination, you will: (i) return any confidential or proprietary information to Federated Hermes, (ii) cease accessing or using EDGEnet, and certify to each of the foregoing in writing from a senior officer to Federated Hermes. Federated Hermes has the right to disable your access to EDGEnet upon termination. All rights and obligations reasonably intended to survive the termination of these Terms of Use shall so survive (including without limitation the disclaimers and limitations of liability herein).

7. Intellectual Property Rights

(a) Federated Hermes, and/or its third party providers and licensors, shall at all times retain ownership of all rights, title and interest in and to EDGEnet, the Site, and any copies and parts thereof (including all enhancements, modifications, revisions, updates, supplements, interim works and derivative works thereto, any related technical know-how and all copyright, patent and other intellectual property rights therein). All of the foregoing are protected by copyright and other intellectual property laws. Your rights shall be limited solely to use of EDGEnet as provided for herein. You will have no rights, ownership or interest in or to EDGEnet except as described herein, and Federated Hermes expressly reserves all rights not otherwise specifically granted hereunder. You may not alter or remove any copyright notice or proprietary legend contained in EDGEnet or the Site. You do not receive any and Federated Hermes retains all ownership rights in EDGEnet and the Site.

(b) You may provide ideas, suggestions, methods, processes, or other information regarding EDGEnet (“Feedback”) that Federated Hermes may use for its commercial purposes, or on which Federated Hermes may partly rely to design, structure or develop a modification, improvement, update or enhancement of, or add new functionality to EDGEnet (“Developments”). By submitting Feedback you grant Federated Hermes a non-exclusive, irrevocable, perpetual, fully-paid, royalty free, worldwide, sub licensable and transferable license for use of the Feedback for Federated Hermes’ commercial purposes and in Developments. Such Feedback and Developments shall be, and shall remain, the sole and exclusive property of Federated Hermes.

(c) All trademarks, service marks and trade dress on this website belong to Federated Hermes, except third party trademarks or service marks which are the property of their respective owners. Federated Hermes’ trademarks, service marks and trade dress related to EDGEnet may not be used in connection with any product or service that is not Federated Hermes’, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Federated Hermes. You may not frame or use framing techniques to enclose any trademark, logo or proprietary information of Federated Hermes without express written consent. You may not use any meta tags or other “hidden text” utilizing EDGEnet or Federated Hermes or Federated Hermes’ trade/service marks without express written consent of Federated Hermes. You may not link to the Site, unless you: do so in a way that is fair and legal, do not disparage Federated Hermes, do not suggest any approval or endorsement of Federated Hermes without its express written consent, and agree to remove any such link upon request from Federated Hermes.

(d) All content included in or made available through EDGEnet is the property of Federated Hermes or its content suppliers and protected by United States and international copyright laws. The compilation of all content in or made available through EDGEnet is the exclusive property of Federated Hermes and protected by United States and international copyright laws.

8. Updates and Support Services

(a) Federated Hermes may provide modifications, updates and enhancements (“Updates”) to EDGEnet from time to time by directly installing the Update on the Site. You agree to only use the updated EDGEnet. You acknowledge that Federated Hermes will not be obligated to continue to support or keep active any prior version of EDGEnet once an Update is released and active for you. Updates may disable or delete features of EDGEnet as necessary, including without limitation due to a change in relationship with a third party licensor or other partner.

(b) Other than the provision of Updates as indicated in Section 8(a), Federated Hermes shall not be obligated to provide any support or maintenance services except as may be contracted for in writing for a fee agreed to by Federated Hermes. Please refer to EDGEnet’s On-Line Help function for certain additional assistance regarding your use of EDGEnet.

9. Warranties and Disclaimers

(a) You represent, warrant and covenant to Federated Hermes that:

(i) Acquiring, operating and maintaining the proper environment necessary to properly operate and access EDGEnet and this website, including without limitation the telecommunications infrastructure, hardware, interfaces and other software, is your sole responsibility,

(ii) You are responsible for determining whether EDGEnet will achieve the results you desire and for selecting qualified personnel to use EDGEnet on your behalf as permitted herein. You are responsible for adopting reasonable measures to limit your exposure with respect to potential losses and damages arising from use, nonuse, interruption, delay, errors, or omissions of or in EDGEnet or Internet or wireless service access, or the results thereof, including (without limitation) examination and confirmation of data prior to use thereof, and provision for identification and correction of errors and omissions. You agree to maintain at all times alternative methods capable of substitution in the event EDGEnet is unavailable to you for whatever reason. You agree that an electronic transaction request is not considered received until Federated Hermes has issued a confirmation indicating it received the electronic transaction request. You agree to notify Federated Hermes immediately if you do not receive confirmation or an acknowledgement of an electronic transaction request,

(iii) You are solely responsible for complying with all applicable international, federal, state and local laws, rules and regulations relating to the use of EDGEnet and the information and data related thereto, privacy (including without limitation for sharing information with Federated Hermes and putting information in EDGEnet), and trading of securities (including without limitation related to late trading and market timing),

(iv) You shall perform (or contract with Federated Hermes to perform at agreed upon rates) internal training of your employees regarding proper use of EDGEnet,

(v) Your data shall be properly inputted into EDGEnet, and your use of EDGEnet and the Site will not violate Section 5, and

(vi) You have obtained from your customers all necessary rights, permissions, and consents for you and Federated Hermes to transmit, store, and use confidential and personal information in EDGEnet and the Site.

(b) FEDERATED HERMES’ DISCLAIMER OF WARRANTIES:

(i) EDGEnet AND THE SITE ARE PROVIDED TO YOU ON AN "AS IS", “AS AVAILABLE”, AND "WITH ALL FAULTS" BASIS. IN CONNECTION WITH YOUR USE OF EDGEnet, YOU MAY BE INSTRUCTED TO OBTAIN AND LOAD ONTO YOUR COMPUTER CERTAIN OTHER THIRD-PARTY SOFTWARE (COLLECTIVELY THE "THIRD-PARTY SOFTWARE") OR TO CONFIGURE YOUR COMPUTER SYSTEM IN A PARTICULAR MANNER (THE "CONFIGURATION SPECIFICATIONS"). LIKEWISE, FEDERATED HERMES PROVIDES THE CONFIGURATION SPECIFICATIONS AND THE THIRD-PARTY SOFTWARE TO YOU ON AN "AS IS", “AS AVAILABLE”, AND "WITH ALL FAULTS" BASIS. YOU ASSUME THE ENTIRE RISK IN USING EDGEnet, THE SITE, AND THE THIRD-PARTY SOFTWARE AND IN CONFIGURING YOUR COMPUTER SYSTEM IN ACCORDANCE WITH THE CONFIGURATION SPECIFICATIONS. FEDERATED HERMES MAKES NO, AND HEREBY DISCLAIMS ANY AND ALL, REPRESENTATIONS, WARRANTIES, AND DUTIES THAT EDGEnet, THE SITE, THE THIRD-PARTY SOFTWARE OR CONFIGURATION SPECIFICATIONS WILL BE: VIRUS FREE, ERROR FREE, FREE OF DESTRUCTIVE CODE, OR UNINTERRUPTED, OR THAT ANY NON-CONFORMITIES CAN OR WILL BE CORRECTED. FEDERATED HERMES HEREBY DISCLAIMS ANY AND ALL REPRESENTATIONS, WARRANTIES, AND DUTIES REGARDING OR RELATING TO EDGEnet, THE SITE, THE THIRD-PARTY SOFTWARE OR THE CONFIGURATION SPECIFICATIONS, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO: (A) THE IMPLIED WARRANTY OF MERCHANTABILITY; (B) THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; (C) OF SECURITY; (D) OF PRIVACY; (E) OF TITLE OR NON-INFRINGEMENT; (F) OF ANY CREATED BY TRADE USAGE, COURSE OF DEALING, OR COURSE OF PERFORMANCE; AND (G) OF RESULTS, ACCURACY, VALIDITY, COMPLETENESS OF INFORMATION, FUNCTIONALITY, OR AVAILABILITY. IN ADDITION, YOU EXPRESSLY AGREE THAT ACCESS TO EDGEnet AND THE SITE MAY BE LIMITED OR UNAVAILABLE DURING PERIODS OF PEAK DEMAND, SYSTEM UPGRADES, MALFUNCTIONS, OR SCHEDULED OR UNSCHEDULED MAINTENANCE OR FOR OTHER REASONS. FEDERATED HERMES MAKES NO WARRANTIES REGARDING MATERIALS PROVIDED BY THIRD PARTY LICENSORS OR HOSTS, PARTNERS, ARRANGEMENTS WITH THIRD PARTIES, OR USE OF THIRD PARTY SITES, SYSTEMS OR SERVICES. The foregoing does not affect any warranties that cannot be excluded or limited under applicable law.

(ii) THE CONTENT PROVIDED THROUGH EDGEnet AND THE SITE (INCLUDING VIA ANY LINKS ON THE SITE) MAY BE PROVIDED BY THIRD PARTY CONTENT PROVIDERS AND USERS. FEDERATED HERMES IS NOT A PUBLISHER OF SUCH CONTENT AND HAS NO EDITORIAL CONTROL OVER IT. ANY OPINIONS, ADVICE, STATEMENTS, SERVICES, OFFERS OR OTHER INFORMATION GIVEN OR PROVIDED BY THIRD PARTIES ARE THOSE OF THE RESPECTIVE AUTHORS OR DISTRIBUTORS OF SUCH CONTENT AND NOT OF FEDERATED HERMES. 10. No Incidental, Consequential, or Certain Other Damages

(a) FEDERATED HERMES, ITS AFFILIATES, SERVICE PROVIDERS, OR THEIR RESPECTIVE EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS (COLLECTIVELY, “RELEASED PARTIES”) SHALL NOT IN ANY CASE BE LIABLE FOR DIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT, PUNITIVE, OR OTHER SIMILAR DAMAGES INCURRED THAT ARISE UNDER OR RELATE IN ANY WAY TO EDGEnet, THE SITE OR THESE TERMS OF USE, EVEN IF THE RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ADDITION, THE RELEASED PARTIES SHALL NOT BE RESPONSIBLE FOR ANY DAMAGES INCURRED AS A RESULT OF LOST PROFITS OR REVENUE, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE OF EDGEnet OR THE SITE, LOSS OR CORRUPTION OF DATA, COSTS OF RECREATING LOST OR CORRUPTED DATA, THE COST OF ANY SUBSTITUTE SOFTWARE, LOST SALES, LOST INVESTMENTS OR INVESTMENT OPPORTUNITIES, LOST TRADES OR INCORRECT TRADES, INCURRED COSTS OR EXPENSES, LOSS OF GOODWILL OR FOR OTHER SIMILAR COSTS. THE FOREGOING LIMITATION APPLIES TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING, WITHOUT LIMITATION, BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATION AND OTHER TORTS. SOME STATES IN THE U.S. MAY NOT ALLOW EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES, OR THE EXCLUSION OR LIMITATION OF INCIDENTAL DAMAGES AND THE LIKE, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

(b) THE RELEASED PARTIES WILL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSS RESULTING FROM A CAUSE OVER WHICH FEDERATED HERMES DOES NOT HAVE DIRECT CONTROL. THIS INCLUDES FAILURE OF ELECTRONIC OR MECHANICAL EQUIPMENT OR COMMUNICATIONS LINES (INCLUDING TELEPHONE, CABLE AND INTERNET), UNAUTHORIZED ACCESS OR HACKING, VIRUSES, THEFT, OPERATOR ERRORS, SEVERE OR EXTRAORDINARY WEATHER (INCLUDING FLOOD, EARTHQUAKE, OR OTHER ACT OF GOD), FIRE, WAR, INSURRECTION, TERRORIST ACT, RIOT, LABOR DISPUTE AND OTHER LABOR PROBLEMS, ACCIDENT, EMERGENCY OR ACTION OF GOVERNMENT.

11. Limitation of Liability and Exclusive Remedy

YOU HEREBY ACKNOWLEDGE AND AGREE THAT YOUR SOLE REMEDY FOR BREACH OF THESE TERMS OF USE OR ANY CAUSE OF ACTION OF ANY NATURE (INCLUDING TORT) RELATING TO THEM, EDGEnet, THE SITE, OR THE CONFIGURATION SPECIFICATIONS, IS AT FEDERATED HERMES’ OPTION: (A) SUBSTITUTION OR REPLACEMENT OF ALL OR PART OF EDGEnet, THE SITE, OR THE CONFIGURATION SPECIFICATIONS THAT GIVES RISE TO DAMAGES INCURRED BY YOU IN REASONABLE RELIANCE ON FEDERATED HERMES; OR (B) THE LESSER OF THE AGGREGATE DIRECT DAMAGES ACTUALLY INCURRED BY YOU TO FEDERATED HERMES FOR THE ITEM GIVING RISE TO YOUR DAMAGES OR $100.00. YOU AGREE THAT THE DAMAGE EXCLUSIONS IN THESE TERMS OF USE AND THIS LIMITATION OF LIABILITY SHALL APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. The foregoing does not affect any types of liability that cannot be excluded or limited under applicable law, though in such jurisdictions, the Released Parties’ liability shall be limited to the maximum extent permitted by applicable law.

12. Governmental Licensees

EDGEnet and associated documentation are "commercial items," as that term is defined at FAR Part 2.101, and consists of computer software and technical data subject to the provisions of FAR Parts 12.211 - "Technical Data," and FAR 12.212 - "Computer Software." Use of EDGEnet and/or the associated documentation constitutes agreement by the Government that the EDGEnet and associated documentation are "commercial computer software" and "commercial computer software documentation," and constitutes acceptance of the rights and restrictions as set forth in this license. In the event it is later determined by a court of competent jurisdiction or a board of contract appeals that EDGEnet and associated documentation are not subject to the provisions of FAR Parts 12.211-212, the Government agrees that the use, duplication or disclosure by the Government of EDGEnet and associated documentation is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the rights in technical data and computer software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the commercial computer software restricted rights at FAR 52.227-19, as applicable. The manufacturer of EDGEnet is Federated Shareholder Services Company, 1001 Liberty Avenue, Pittsburgh, PA 15222-3779.

13. System Use and Security

(a) You assume sole responsibility for the security and integrity of your Internet service and wireless connections, hardware, and all data and information transmitted to, from, or through EDGEnet. You agree to provide such security as is necessary to prevent any unauthorized use of EDGEnet, including without limitation by implementing a user password policy to restrict access to EDGEnet. In addition, you will immediately notify Federated Hermes if any Access Credentials issued to you in connection herewith is or may be jeopardized, or if any unauthorized access to EDGEnet has occurred or is occurring. Federated Hermes may change the EDGEnet host or other providers at any time, and you shall cooperate with such change (including without limitation with any related changes such as using a new website address for access).

(b) YOU ARE SOLELY RESPONSIBLE FOR ALL USE OF AND ACCESS TO INFORMATION AVAILABLE PURSUANT TO EDGEnet, INCLUDING SUCH USE OR ACCESS THROUGH ANY ACCESS CREDENTIALS YOU REGISTER FOR OR AUTHORIZE. YOU SHALL PERMIT ONLY AUTHORIZED USERS TO ACCESS EDGEnet. FEDERATED HERMES SHALL HAVE NO LIABILITY FOR ANY ACTIONS RESULTING FROM ACCESS TO EDGEnet, INCLUDING BY USING SUCH ACCESS CREDENTIALS AND YOU AGREE TO INDEMNIFY FEDERATED HERMES AND ITS AFFILIATES FOR SUCH ACTIONS TO THE FULLEST EXTENT PERMITTED BY LAW. YOUR RESPONSIBILITY AND LIABILITY AS INDICATED IN THIS PARAGRAPH EXPRESSLY INCLUDES RESPONSIBILITY AND LIABILITY FOR ANY TRADES AND OTHER TRANSACTIONS MADE.

14. Indemnification

You agree to indemnify, defend, and hold Federated Hermes and its affiliates harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out: of content you submit, post to or transmit through EDGEnet or the Site; your connection to or use of EDGEnet or the Site; your actions taken in connection with or in reliance on content, information, or functionality available on EDGEnet or the Site; your violation of the Terms of Use; or your violation of any rights of another user.

15. Inspection, Correction, and Removal of Information

(a) You agree to provide true, accurate, current and complete information when transmitting transaction related requests and information via EDGEnet, and Federated Hermes is entitled to, and is, expressly relying on the truth, accuracy, up to date nature and completeness of such information. Federated Hermes may archive and store such information regarding transactions and other uses of EDGEnet. Federated Hermes may use such information in any way it deems appropriate. Federated Hermes shall be under no obligation to provide any such stored information to you. You agree to provide true, accurate, current and complete contact, registration and other required information when registering for use of EDGEnet. You shall maintain and promptly update any such information to keep it accurate. Use of information you provide on or through EDGEnet or the Site is addressed in Federated Hermes’ Privacy Policy. Federated Hermes cannot require third parties to change information that has been disclosed to them with your consent. To modify this information, you will have to go directly to the relevant third party.

(b) Federated Hermes may contact you by e-mail to: (i) provide any notice related hereto; (ii) respond to any questions you may send Federated Hermes; (iii) send you e-mail communications about information Federated Hermes thinks you will find useful--including announcements about new products and services; or (iv) communicate other information as necessary to administer EDGEnet. By providing your e-mail address to Federated Hermes, EDGEnet, or the Site, you consent to receiving such e-mails. You shall immediately notify Federated Hermes upon any change in your e mail address.

16. Monitoring and Information Disclosures

Federated Hermes may (but has no obligation to) monitor, intercept, retrieve, and otherwise use and disclose any and all access and use of EDGEnet, the Site, and Access Credentials. For example, Federated Hermes may monitor and log information to detect and monitor errors, user logins, and error messages. Federated Hermes also may employ intrusion detection software or controls to detect unauthorized intrusions or access, and it may monitor the locations from where access is attempted or occurs. Information Federated Hermes learns from monitoring may be used for purposes including Federated Hermes’ internal or commercial purposes, including (without limitation) to troubleshoot and support EDGEnet, the Site, and Access Credentials, and such information can be disclosed to third parties for those purposes. The information can also be disclosed: to law enforcement authorities; to other third parties pursuant to a court order, in response to a subpoena, or otherwise in connection with a legal investigation or proceeding; or otherwise as permitted by law. If you object to any of this monitoring or potential use or disclosure, do not use EDGEnet or the Site.

17. Notices

(a) Notices to You. As permitted by law, Federated Hermes may provide you with any required notice by posting the notice on the Site or in EDGEnet, by sending it to any e-mail address that Federated Hermes has on file for you, or by mailing the notice to any address that Federated Hermes has on file for you. Notices sent pursuant to the terms of this section will be deemed received when posted on the Site or in EDGEnet, when sent by e-mail, or the sooner of when received by mail or three calendar days after mailing. You agree to keep your address current, and to check for notices posted on the Site or in EDGEnet.

(b) Notices to Federated Hermes. All notices to Federated Hermes under these Terms of Use shall be in writing, and shall be mailed by registered or certified mail to

All notices sent pursuant to the terms of this section will be deemed received on the date they are actually received by Federated Hermes.

18. Miscellaneous
(a) Entire Agreement. These Terms of Use, the Fund Services Agreement and this website’s privacy policy https://www.federatedinvestors.com/policies/privacy-policy.do are the exclusive agreement between Federated Hermes and you regarding its subject matter.
(b) Applicable Law and Venue. These Terms of Use and your use of EDGEnet and this website shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without giving effect to conflicts of law provisions. Any suit or proceeding by you arising under or relating to these Terms of Use shall be brought only in a state or federal court sitting in Allegheny County, Pennsylvania. You hereby expressly acknowledge the jurisdiction and proper venue of the foregoing courts in any action or proceeding related hereto.
(c) Limitation on Time to File Claims. ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
(d) Severability and Waiver. If any provision of these Terms of Use is declared invalid or unenforceable, the remaining provisions of these Terms of Use shall remain in full force and effect. No waiver or delay by Federated Hermes in enforcing any provision of these Terms of Use shall be deemed a continuing waiver or a waiver of any other provision of these Terms of Use.
(e) Assignment. Federated Hermes may freely assign or transfer these Terms of Use at any time. You are not permitted to assign these Terms of Use.
(f) No Harvesting or Dictionary Attacks. Federated Hermes does not authorize you to obtain or use e-mail addresses maintained by it (e.g., in the Site or EDGEnet), other than as appropriate to contact Federated Hermes employees. Except for Federated Hermes or other authorized parties, you may violate federal law if you: (i) initiate the transmission of a commercial electronic mail message (as defined in 15 U.S.C. § 7701 et. seq.) that does not meet the message transmission requirements of that statute to Federated Hermes computers or devices; or (ii) assist in the origination of such messages through the provision or selection of addressees to which such messages will be transmitted.

19. Authority

You agree that you have the legal right and ability to agree to these Terms of Use for yourself and on behalf of the entity you work for, and that you will use EDGEnet in a manner consistent with these Terms of Use. You agree that you and the entity you work for are jointly and severally responsible for your use of EDGEnet as well as for the use of EDGEnet by others through you, including any employees, agents or contractors. Your administrator identified in your registration information has the legal right and ability to communicate for you and legally bind you with regard to matters related to EDGEnet.
